These Terms & Conditions govern your use of this website and any services provided by Michelle Stanley, trading as By Michelle Stanley. By using this website or engaging my services, you agree to these Terms & Conditions.

1. About By Michelle Stanley

By Michelle Stanley is the trading name of Michelle Stanley, an independent business consultant based in the United Kingdom.

I help businesses identify opportunities to improve productivity, streamline operations, reduce inefficiencies and implement practical AI-powered solutions that support business growth.

Services may include, but are not limited to:

  • Ongoing Advisory Support

The exact scope of work will always be agreed in writing before paid work begins.

2. Discovery Calls

Discovery Calls are provided free of charge to understand your business, discuss your objectives and determine whether my services are suitable for your needs.

A Discovery Call is an introductory consultation only and should not be relied upon as business, legal, financial or technical advice.

No client relationship exists until a proposal, quotation or agreement has been accepted.

3. Quotes & Proposals

Where appropriate, a written quotation or proposal will be provided before work begins.

Unless otherwise stated:

  • Quotations are valid for 30 days.
  • The project scope is limited to the services described within the proposal.
  • Additional work requested outside the agreed scope may require a revised quotation.

4. Fees & Payment

Unless otherwise agreed in writing:

  • Invoices are payable within 14 days of the invoice date.
  • Some projects require a deposit before work begins.
  • Larger projects may be invoiced in agreed stages or milestones.
  • Payments should be made to Michelle Stanley using the payment details shown on the invoice.

Late payment may result in work being suspended until payment has been received.

5. Business Quick Wins™

Business Quick Wins™ are designed to solve specific operational challenges within a business.

The functionality, deliverables and scope of each solution will be agreed before work begins.

Any future enhancements, modifications or additional functionality may require a separate quotation.

6. Strategic Business Assessments

Strategic Business Assessments are designed to identify opportunities to improve business performance, productivity and operational efficiency.

Assessments provide strategic recommendations and a practical roadmap for improvement.

Implementation services are not included unless specifically agreed in writing.

7. Workshops & Training

Workshops and training sessions are designed to improve understanding, confidence and adoption of AI and better ways of working.

Workshop materials remain the intellectual property of Michelle Stanley.

Materials may not be copied, reproduced, distributed, recorded or sold without prior written permission.

8. AI Implementation & Third-Party Services

Some projects may involve recommendations for or coordination with third-party software providers, technology suppliers or implementation specialists.

Where third-party services are used:

  • Michelle Stanley remains responsible only for the consulting services provided.
  • Third-party providers remain responsible for their own products and services.
  • Michelle Stanley cannot guarantee the performance, availability or future functionality of third-party software or services.

9. Intellectual Property

Unless agreed otherwise in writing, all reports, assessments, frameworks, templates, recommendations, documentation, presentations and other materials remain the intellectual property of Michelle Stanley until full payment has been received.

Following payment, clients receive a non-exclusive licence to use the materials within their own organisation.

Materials may not be copied, reproduced, published, distributed, licensed or resold without prior written permission.

10. Privacy

Personal information is collected, stored and processed in accordance with my Privacy Policy.

Please refer to the Privacy Policy for full details of how your personal information is handled.

11. Client Responsibilities

Clients are responsible for providing accurate, complete and timely information necessary for the delivery of services.

Delays in providing information, approvals or decisions may affect project timescales and outcomes.

12. AI & Business Recommendations

Recommendations are based on the information provided by the client together with professional judgement and experience.

Business results depend on many factors, including leadership decisions, implementation, staff adoption, existing systems and third-party technologies.

While every effort is made to provide practical, high-quality advice, no guarantee is made regarding specific commercial, financial or operational outcomes.

13. Limitation of Liability

To the fullest extent permitted by law, Michelle Stanley shall not be liable for any indirect, incidental, consequential or special loss arising from:

  • use of this website;
  • reliance on information provided;
  • implementation of recommendations;
  • business decisions made by the client;
  • the use of third-party software, services or suppliers.

Nothing within these Terms excludes or limits liability where such limitation would be unlawful under the laws of England and Wales.

14. Cancellation & Termination

Either party may terminate a project by providing written notice.

Where work has already commenced, payment remains due for work completed up to the termination date.

Any outstanding invoices remain payable.

15. Website Use

The information published on this website is provided for general information purposes only.

While every effort is made to ensure information is accurate and up to date, no warranty is given regarding its completeness, accuracy or suitability for your particular circumstances.

The content on this website should not be relied upon as legal, financial, tax or regulated professional advice.

16. Force Majeure

Neither party shall be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control, including but not limited to natural disasters, severe weather, government action, power failures, internet outages, cyber incidents or other events outside reasonable control.

17. Changes to These Terms

These Terms & Conditions may be updated from time to time.

The latest version will always be published on this website together with the effective date.

18. Governing Law

These Terms & Conditions are governed by the laws of England and Wales.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
